1. About these Terms

These Terms and Conditions (“Terms”) govern your use of the Moonline Agency website (the “Site”) and any services we provide to creators, models, or brands (collectively, the “Services”). By accessing the Site or engaging our Services, you agree to these Terms.

2. Our Services

Moonline Agency provides end-to-end creator growth services including brand strategy and identity, professional photo and video production, platform profile setup and management (e.g., OnlyFans, Fansly, ManyVids, Jerkmate, Stripchat, and others), social media growth (TikTok, Instagram, YouTube, X, Reddit, Pinterest), paid acquisition (e.g., TrafficJunky, Meta, Google, Reddit, X), funnel and analytics, community monetization, and voting/contest campaigns. Specific deliverables, timelines, and responsibilities are defined in an individual agreement, statement of work, or order form (“Service Agreement”).

3. Eligibility

Services are intended for adults 18 years or older. You represent and warrant that you are at least 18 and have the legal right to enter into these Terms and any Service Agreement.

4. Engagement Models and Fees

We offer two primary models:
(a) Revenue-share collaboration. No upfront fees; we typically fund ads, tools, and operations. Revenue splits vary by scope, effort, and commitment and are set in the Service Agreement.
(b) Project-based packages. Fixed one-time or milestone-based fees depending on scope and timelines.
Unless otherwise stated, taxes (including VAT) are your responsibility. Invoices are due as specified in the Service Agreement.

5. Platform and Third-Party Terms

Your use of creator platforms and social networks is subject to each platform’s own terms and policies. We can assist with compliance, but you remain responsible for complying with platform rules and applicable laws. We are not affiliated with or endorsed by those platforms.

6. Creator Content and Licenses

You retain ownership of your content. You grant Moonline Agency a limited, non-exclusive, worldwide license to use, edit, reproduce, distribute, publicly display, and create derivative works from your content solely to perform the Services, promote your profiles, run ads, and compile case studies (anonymized unless you provide written permission). You represent that your content does not infringe third-party rights and complies with applicable laws (including consent, IP, and image rights).

7. Professional Production and Voting Campaigns

Where we produce photos and videos, production terms (usage, credits, raw files, and deliverables) are defined in the Service Agreement. We also plan and run voting/contest activations (e.g., platform leaderboards, social polls). Campaign rules and compliance remain your responsibility; we provide support and execution.

8. Confidentiality

Both parties will keep confidential information secret and use it only to perform the Services, except as required by law or with written consent.

9. Data Protection and Privacy

We process personal data in accordance with our Privacy Policy (see below). Where we act as a processor on your behalf (e.g., managing subscriber data), we will enter into a Data Processing Agreement (DPA) on request. You agree not to provide personal data to us unless lawful and necessary for the Services.

10. Acceptable Use and Prohibited Content

You may not use the Services for illegal purposes or to distribute content that is unlawful, defamatory, infringing, fraudulent, or otherwise violates platform policies. No minors may appear in any content. All persons depicted must be 18+ with appropriate consents.

11. Publicity

We may reference you as a client (name or anonymized) and use performance metrics and creatives for case studies and portfolio unless the Service Agreement states otherwise. You can opt out of public references by written notice (reasonable time to remove applies).

12. No Guarantees; Your Responsibilities

Marketing outcomes depend on many factors (time invested, what you are comfortable showing, niche, market conditions). We do not guarantee specific results or income. You agree to provide timely approvals, access, and materials; follow agreed content cadence; and comply with laws and platform rules.

13. Warranties and Disclaimers

Except as expressly set out in a Service Agreement, the Site and Services are provided “as is” and “as available” without warranties of any kind, express or implied, including fitness for a particular purpose or non-infringement.

14. Limitation of Liability

To the fullest extent permitted by law, Moonline Agency / Mendicino Marketing shall not be liable for indirect, incidental, special, consequential, or punitive damages, loss of profits, revenue, data, goodwill, or business interruption. Our aggregate liability under these Terms and any Service Agreement shall not exceed the fees paid by you to us in the three (3) months preceding the event giving rise to the claim.

15. Indemnification

You agree to indemnify and hold harmless Moonline Agency / Mendicino Marketing and its officers, employees, and contractors from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your content, your breach of these Terms, or your violation of any law or third-party right.

16. Term and Termination

These Terms apply while you use the Site or receive Services. Any Service Agreement may specify term and termination rights (including cancel-anytime with notice for revenue-share). Upon termination, licenses granted to us end, except that we may retain copies as required for legal, audit, or archival purposes.

17. Changes to the Terms

We may update these Terms from time to time by posting the revised version on the Site. Material changes will be indicated with a new “Last updated” date. Continued use constitutes acceptance.

18. Governing Law and Venue

These Terms are governed by the laws of Germany (excluding conflict of laws). Exclusive venue is Düsseldorf, Germany, unless mandatory consumer protection rules provide otherwise.

19. Miscellaneous

Assignment: You may not assign without our consent. Force Majeure: Neither party is liable for delays beyond reasonable control. Severability: If any provision is invalid, the remainder stays effective. Entire Agreement: These Terms plus any Service Agreement are the entire agreement.
